Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FacialProof’s websites, dashboards, APIs, SDKs, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the Services.


1) Who We Are / Contact

2) Definitions

  • “Subscriber”: the person or entity that registers for or purchases the Services.
  • “Authorized User”: individuals permitted by the Subscriber to access the Services under the Subscriber’s account.
  • “Administrator”: an Authorized User with permissions to manage the account, users, billing, and settings.
  • “Customer Content”: data you submit to the Services (including images/videos, metadata, and inputs).

3) Changes to These Terms

We may update these Terms from time to time. Updated Terms apply from the “Last updated” date shown above. If changes are material, we’ll provide reasonable notice (e.g., via email or within the dashboard). Continued use after changes means you accept the updated Terms.


4) The Services

FacialProof provides facial verification and related capabilities (e.g., liveness checks, face matching, fraud signals) through web apps, APIs, and SDKs.

Important: FacialProof is a technology provider. You are responsible for how you integrate and use the Services in your product and for complying with applicable laws and obtaining any required user consents.


5) Eligibility & Accounts

  • You must be at least 18 to create an account.
  • You must provide accurate account information and keep it up to date.
  • Credentials are personal. You must not share logins or API keys outside your organization’s authorized team.
  • The Subscriber and Administrators are responsible for all activity on the account.

Notify us immediately at info@facialproof.com if you suspect unauthorized access.


6) License to Use the Services

Subject to these Terms, FacialProof grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for your internal business purposes and to build your own applications that call our API/SDK.

You may charge your customers for your own product or service that uses FacialProof, but you may not:

  • resell, sublicense, rent, lease, or “white-label” FacialProof access as a standalone service;
  • provide third parties direct access to our API/SDK without written permission.

7) Restrictions / Acceptable Use

You must not (and must not allow others to):

  • reverse engineer, decompile, or attempt to extract source code (except where prohibited by law);
  • bypass rate limits, security controls, or access restrictions;
  • scrape, spider, or use automated systems that overload our infrastructure;
  • use the Services for unlawful, harmful, deceptive, or abusive purposes;
  • build a competing or substantially similar product based on our confidential or proprietary features;
  • use the Services to identify individuals in a way that violates law, consent requirements, or privacy rights.

We may suspend or terminate access if we reasonably believe you violate these Terms or pose a security/legal risk.


8) Customer Responsibilities (Security, Compliance, End Users)

You are responsible for:

  • implementing reasonable security measures in your systems;
  • obtaining all legally required notices, permissions, and consents from end users (including for biometric processing where applicable);
  • maintaining an end-user policy that explains your use of facial data when you embed FacialProof in your product.

Security incidents: You must promptly notify us at info@facialproof.com if you suspect a breach involving your account, API keys, or data exchanged with the Services.


9) Customer Content & Data Use

You retain ownership of your Customer Content. You grant FacialProof a license to process Customer Content solely to:

  • provide and maintain the Services;
  • prevent fraud, abuse, and security incidents;
  • support and troubleshoot requests;
  • improve reliability and performance.

Data handling details (including retention and deletion) are described in our Privacy Policy.


10) Fees, Billing, and Taxes

  • You agree to pay fees according to the plan you select.
  • Taxes may be added where required.
  • If payment fails or is overdue, we may suspend access until payment is resolved.

11) Cancellation & Refunds

Unless required by law or explicitly stated in a written order form:

  • Payments are non-refundable.
  • You may cancel at any time to stop future billing (access continues until the end of the current billing period unless your plan states otherwise).
  • If you upgraded/downgraded into the wrong plan, contact us promptly; we may adjust at our discretion.

12) Third-Party Services

The Services may integrate with third-party tools (e.g., payment processors, analytics, hosting). Those third parties operate under their own terms and privacy policies. FacialProof is not responsible for third-party services.


13) Intellectual Property

FacialProof owns all rights in the Services, including software, APIs/SDKs, models, documentation, and branding. Except for the limited license in Section 6, no rights are granted.

You may not use our trademarks without written permission.


14) Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” We do not guarantee the Services will be uninterrupted, error-free, or meet your specific needs. You are responsible for validating results for your use case.


15) Limitation of Liability

To the maximum extent permitted by law:

  • FacialProof will not be liable for indirect, incidental, special, consequential, or punitive damages.
  • FacialProof’s total liability for any claim relating to the Services will not exceed the amount you paid to FacialProof in the 3 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in that case, liability is limited to the fullest extent permitted.


16) Indemnification

You agree to defend, indemnify, and hold harmless FacialProof and its affiliates, officers, employees, and partners from claims, damages, and expenses (including reasonable legal fees) arising from:

  • your use of the Services;
  • your product integration or end-user interactions;
  • your violation of these Terms or applicable law;
  • your Customer Content.

17) Suspension & Termination

You may stop using the Services at any time.

We may suspend or terminate access immediately if:

  • you breach these Terms;
  • your use creates security, legal, or operational risk;
  • you fail to pay fees when due.

Upon termination:

  • your right to use the Services ends;
  • outstanding fees remain payable;
  • sections intended to survive (IP, disclaimers, liability limits, indemnity, governing law) will survive.

18) Governing Law & Venue

These Terms are governed by the laws applicable in Kosovo (excluding conflict-of-law rules). Any dispute will be brought in the competent courts of Prishtina, Kosovo, unless mandatory law requires otherwise.


19) Notices

We may send notices by email, dashboard notifications, or posting on our site. You are responsible for keeping your contact details current.


20) Entire Agreement

These Terms and the Privacy Policy form the entire agreement for your use of the Services, unless you have a separate written agreement signed by FacialProof.
